Boards now play a key role when companies have to take important decisions. The Board of Directors has become the touchstone for healthy companies and in particular for their long term sustainability.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">The report identifies the following areas that need improvement:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\"><b>New technologies<\/b><span style=\"font-weight: 400;\"> and their application to companies\u2019 digital transformation \u00a0(83% of board members feel that they lack the skillset to supervise technology issues);<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">The role of board members in defining and supervising <\/span><b>corporate strategy <\/b><span style=\"font-weight: 400;\">(44% say they only review it once a year, while 6% admit they never do)<\/span><\/li>\n<li style=\"font-weight: 400;\"><b>Succession planning<\/b><span style=\"font-weight: 400;\"> for the chief executive officer (CEO) and members of the Board (only 19.1% of board members feel they spend enough time on this).<\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">The report also notes that the vast majority of board members interviewed believe that in the next few years, the key issues will be: the separation between the Chair and the CEO; the role of the lead director, and the significant part played by shareholders in the Annual General Meeting.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><em><b>You may also be interested in:<\/b><\/em><\/p>\n<ul>\n<li><a href=\"http:\/\/www.cuatrecasas.com\/media_repository\/docs\/esp\/el_gobierno_corporativo_2013_956.pdf\"><span style=\"font-weight: 400;\">Corporate governance and institutional investors [\u201cEl gobierno corporativo y los inversores institucionales\u201d]<\/span> <\/a><span style=\"font-weight: 400;\">(<\/span><span style=\"font-weight: 400;\">Georgeson y Cuatrecasas Gon\u00e7alves)<\/span><\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<p>&nbsp;<\/p>\n<p>&nbsp;<\/p>\n","protected":false},"excerpt":{"rendered":"<p>PwC publishes this report every year, using the headline conclusions from a survey carried out with 66 board members of over 80 Spanish companies, many of them on the IBEX 35.
