{"id":5009,"date":"2016-06-10T07:54:13","date_gmt":"2016-06-10T07:54:13","guid":{"rendered":"http:\/\/progresomicrofinanzas.org\/en\/?p=5009"},"modified":"2017-11-20T15:52:54","modified_gmt":"2017-11-20T15:52:54","slug":"amendment-to-the-transparency-law","status":"publish","type":"post","link":"https:\/\/www.fundacionmicrofinanzasbbva.org\/revistaprogreso\/en\/amendment-to-the-transparency-law\/","title":{"rendered":"Amendment to the Transparency Law"},"content":{"rendered":"<div class=\"pdfprnt-buttons pdfprnt-buttons-post pdfprnt-top-right\"><a href=\"https:\/\/www.fundacionmicrofinanzasbbva.org\/revistaprogreso\/en\/wp-json\/wp\/v2\/posts\/5009?print=pdf\" class=\"pdfprnt-button pdfprnt-button-pdf\" target=\"_blank\"><img decoding=\"async\" src=\"https:\/\/www.fundacionmicrofinanzasbbva.org\/revistaprogreso\/wp-content\/plugins\/pdf-print\/images\/pdf.png\" alt=\"image_pdf\" title=\"View PDF\" \/><\/a><a href=\"https:\/\/www.fundacionmicrofinanzasbbva.org\/revistaprogreso\/en\/wp-json\/wp\/v2\/posts\/5009?print=print\" class=\"pdfprnt-button pdfprnt-button-print\" target=\"_blank\"><img decoding=\"async\" src=\"https:\/\/www.fundacionmicrofinanzasbbva.org\/revistaprogreso\/wp-content\/plugins\/pdf-print\/images\/print.png\" alt=\"image_print\" title=\"Print Content\" \/><\/a><\/div><p><span style=\"font-weight: 400;\">At the end of 2015 the new 2013\/50\/EU Directive on transparency came into force, driving the member states of the European Union to adapt their legislation to the new transparency requirements.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">As a result, on 10<\/span><span style=\"font-weight: 400;\">th<\/span><span style=\"font-weight: 400;\"> May this year, the Grand Duchy of Luxembourg passed the new Transparency Law, which amends the 2008 Act, and transposed the European Directive\u2019s provisions into Luxemburg\u2019s body of law.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">The new Directive aims, essentially, to make capital markets more attractive for small and medium-sized investors, reducing their bureaucratic paperwork and making the information requirements placed on them more proportional. The key changes being introduced are summarised below:<\/span><\/p>\n<p><b>Financial information<\/b><\/p>\n<ul>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Financial statements no longer have to be published every quarter.<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">The time limit for the publication of half-yearly financial statements has been extended from 2 to 3 months after the end of the semester.<\/span><\/li>\n<\/ul>\n<p><b>Transparency in payments to the government<\/b><\/p>\n<ul>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">There is a new requirement report annually and separately any information about payments made to the government by issuers whose activity involves exploiting natural resources.<\/span><\/li>\n<\/ul>\n<p><b>New loan issues<\/b><\/p>\n<ul>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">New loan issues no longer have to be reported. \u00a0<\/span><\/li>\n<\/ul>\n<p><b>Information on modifications to the articles of association<\/b><\/p>\n<ul>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">The requirement to report any change to the company structure or the statutes to the competent authority (<\/span><a href=\"https:\/\/www.cssf.lu\/\"><i><span style=\"font-weight: 400;\">CSSF<\/span><\/i><\/a><i><span style=\"font-weight: 400;\">: Commission de Surveillance du Secteur Financier<\/span><\/i><span style=\"font-weight: 400;\">) has been removed.<\/span><\/li>\n<\/ul>\n<p><b>Information on significant stakes<\/b><\/p>\n<ul>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">The regime for the notification of significant stakes in voting rights has been harmonised, in order to ensure that the information on total voting rights which can be accessed by the investor is as accurate as possible.<\/span><\/li>\n<\/ul>\n<p><b>Additional powers for the CSSF<\/b><\/p>\n<ul>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">The supervisor has been given additional powers, being able to:<\/span>\n<ul>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Request the withdrawal from the market of particular financial instruments, if it discovers, or has good reason to believe, that the provisions in the Transparency Law have been breached.<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Request that regulated information or corrections or future modifications to said information be made public.<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Give orders to prevent behaviour that breaches the Transparency Law.<\/span><\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<p><b>Rules on penalties<\/b><\/p>\n<ul>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">The penalties for non-compliance with transparency requirements have been toughened up: administrative sanctions and measures that include very high fines.<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">In the case of non-compliance by a legal person, the possibility of penalising members of the organs of administration, management or supervision has been introduced, and\/or of persons who may be considered liable for said non-compliance.<\/span><\/li>\n<li style=\"font-weight: 400;\"><span style=\"font-weight: 400;\">Similarly, the suspension or possibility of suspending voting rights for those holding shares or stakes and financial instruments and who do not comply with the notification requirements can be considered.<\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">The legislation stipulates that the administrative measures or penalties should be made public, in order to act as a deterrent against the decisions that have led to their imposition.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p>&nbsp;<\/p>\n","protected":false},"excerpt":{"rendered":"<p>At the end of 2015 the new 2013\/50\/EU Directive on transparency came into force, driving the member states of the European Union to adapt their legislation to the new transparency requirements.
