A partir de esta fecha, deber\u00e1 implementarse con el reglamento para su operaci\u00f3n, que ser\u00e1 emitido por el Poder Ejecutivo a solicitud del Ministerio de Industria y Comercio y Mipymes, y con las dem\u00e1s disposiciones complementarias que se emitan para su operatividad.<\/p>\n<p>Esta Ley es un modelo importado del derecho anglosaj\u00f3n; es funcional y se aleja de las formalidades del derecho franc\u00e9s, del cual deriva el derecho dominicano.<\/p>\n<p>El objetivo de la norma es la estandarizaci\u00f3n del r\u00e9gimen jur\u00eddico de las garant\u00edas mobiliarias (el cr\u00e9dito), as\u00ed como el sistema legal unitario para la constituci\u00f3n, efectividad, publicidad, registro, prelaci\u00f3n, ejecuci\u00f3n y todo lo relacionado con las mismas. Es de aplicaci\u00f3n nacional con funcionalidad contractual o pacto entre las partes, por disposici\u00f3n de la ley o por disposici\u00f3n judicial.<\/p>\n<p>Seg\u00fan se dispone, estas garant\u00edas se pueden constituir sobre los derechos patrimoniales derivados de la propiedad intelectual, derecho al pago de dinero en virtud de dep\u00f3sitos y l\u00edneas de cr\u00e9dito, de la calidad de socio sobre acciones, cuotas y partes de inter\u00e9s o participaciones representativas del capital de sociedades civiles o mercantiles. Asimismo, se pueden constituir garant\u00edas mobiliarias sobre bienes y derechos futuros.<\/p>\n<p>Respecto los requisitos para la efectividad e implementaci\u00f3n del contrato o pacto que constituya una garant\u00eda mobiliaria, la Ley reconoce, entre otros, los siguientes:<\/p>\n<ul>\n<li>Nombre, denominaci\u00f3n o raz\u00f3n social del deudor garante y del acreedor \u00a0\u00a0\u00a0 garantizado, as\u00ed como sus documentos de identidad;<\/li>\n<li>N\u00famero de inscripci\u00f3n asignado en el registro, seg\u00fan corresponda;<\/li>\n<li>Manifestaci\u00f3n que contenga la constituci\u00f3n de la garant\u00eda mobiliaria;<\/li>\n<li>Monto m\u00e1ximo garantizado por la garant\u00eda mobiliaria o la forma de determinar esa cantidad<\/li>\n<li>Descripci\u00f3n de los bienes en garant\u00eda y de los bienes derivados<\/li>\n<li>Autorizaci\u00f3n del deudor garante al acreedor garantizado para la inscripci\u00f3n de la garant\u00eda mobiliaria<\/li>\n<\/ul>\n<p>Cabe destacar que la garant\u00eda mobiliaria debe ser registrada y publicada en el Sistema Electr\u00f3nico de Garant\u00edas Mobiliarias (SEGM), un archivo electr\u00f3nico de acceso remoto. La plataforma que contiene este archivo estar\u00e1 regida por el reglamento de aplicaci\u00f3n. Dicho registro o inscripci\u00f3n de una garant\u00eda mobiliaria en el SEGM tendr\u00e1 una vigencia de cinco a\u00f1os y podr\u00e1 ser renovado por un plazo igual al pactado inicialmente acordado por las partes o periodos adicionales.<\/p>\n<p>Una de las particularidades de la ley es que abre un abanico de posibilidades para que los prestamistas informales puedan igualarse en cuanto a la conservaci\u00f3n de las garant\u00edas, a las entidades de intermediaci\u00f3n financiera, as\u00ed como a cualquier empresa y \/o negocio, que incursione en el \u00e1rea de pr\u00e9stamos con garant\u00edas mobiliarias.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>La Ley n\u00fam. 45-20, sobre Garant\u00edas Mobiliarias de Rep\u00fablica Dominicana, fue promulgada el 10 de febrero de 2020 y entrar\u00e1 en vigor diez meses despu\u00e9s de su publicaci\u00f3n en la Gaceta Oficial.
