In BBVA Microfinance Foundation we know that a solid corporate governance system requires an organizational structure with clearly defined lines of responsibility, based on responsible, consistent and transparent behavior, with efficient procedures for the identification, management, control and notification of risk.

A governance system should guarantee that the institution is managed in a sound and prudent manner and must include the appropriate, and publicized, distribution of roles in the organisation. This governance should reflect a general set of ground rules that are clearly understood and followed by everybody working for the institutions. A framework that is sustained by the principles of transparency, participation and accountability, which makes actions explicit and accepts the corresponding responsibility for the same.

Furthermore, good corporate governance creates an optimal architecture for the relationships with all interest groups, one that has an impact on the performance and sustainability of institutions.

For all these reasons, in 2013 the Foundation began corporate governance training activities as an altruistic contribution to the healthy development of the microfinance sector:

Workshops in Latin America

9 workshops have been run for members of the MFI boards in Colombia, Peru, Dominican Republic and Costa Rica, with the cooperation of Abancord, Asomif, Banca de las Oportunidades, Bancoldex, Fepcmac, Redcamif/Redcom  and other supervisory bodies and associations.

To date, the Foundation has given training in corporate governance to over 400 microfinance professionals.

Corporate Governance Code for Microfinance Institutions

The Foundation has prepared a Universal Corporate Governance Code for Microfinance Institutions, a benchmark document for the sector which contains the principles and standards that any microfinance institution’s governance document should include, including widely accepted International standards and good practice codes.

In the same spirit, and with the cooperation of the IDB/FOMIN, it has written Guidelines for adopting good governance principles in microfinance institutions to encourage their practical application.

The Guide comes with its Passport, a self-diagnosis questionnaire containing a list of questions that help any microfinance institution to identify the measures it needs to roll out in order to implement a good model of institutional governance.
